You represent and warrant that You are at least 18 years of age (or the age of majority in your jurisdiction) and legally capable of entering into binding contracts.

4. User Accounts, Verification, and Security

4.1 Account Registration

When You create an account, You must provide accurate, current, and complete information. You are responsible for safeguarding your login credentials and for all activities under your Account. You must notify Us immediately of any unauthorized use or security breach.

4.2 Identity Verification & Payment Onboarding

To preserve trust and prevent fraud, We may require users (particularly Lenders / Sellers) to complete identity verification (KYC) through third-party verification and payment partners. Failure to complete requested verification may result in account suspension or listing deactivation.

4.3 Account Termination

We may suspend or terminate Your Account immediately, without prior notice, if You breach these Terms, engage in fraudulent activity, or fail to adhere to community standards.

5. Marketplace Platform & Core Operations

5.1 Facilitator Role

CoCloset provides a peer-to-peer software platform and partner network connecting Lenders/Sellers with Buyers/Renters. CoCloset is not the owner, retailer, or manufacturer of any listed Items. Unless explicitly stated otherwise, the rental or purchase agreement is formed directly between the Buyer/Renter and the Lender/Seller.

5.2 Authenticity, Quality, and Prohibited Items

Lenders/Sellers represent and warrant that:

  • All listed Items are 100% authentic. Counterfeit, replica, stolen, or unauthorized items are strictly prohibited.
  • Item descriptions, sizes, condition ratings, and existing wear/flaws are represented accurately and honestly.
  • Items meet hygienic standards and are free from unsanitary contamination or hazardous materials.

CoCloset reserves the right to immediately remove any listing suspected of counterfeiting and to ban responsible accounts permanently.

5.3 Dry Cleaner Hubs & Fulfillment Logistics

Fulfillment and garment processing occur primarily through designated CoCloset Dry Cleaning Hubs:

  • Drop-off: Lenders drop off rented or sold items at the designated Hub within the timeframe specified in the Order confirmation.
  • Inspection & Cleaning: Items are inspected for condition matches and professionally cleaned by partner cleaners in accordance with appropriate fabric-care standards.
  • Pick-up / Delivery: Renters/Buyers collect items from the designated Hub during operational hours or arrange local delivery if available.
  • Return: For rentals, Renters must return Items to the designated Hub by the scheduled end date of the Rental Period.

6. Rentals, Care, Damage, and Late Returns

6.1 Standard Wear and Tear vs. Major Damage

Minor wear-and-tear (e.g., standard minor loose threads or removable stains treatable during routine eco-friendly cleaning) is covered under standard service processing. However, significant damage—including burns, tears, non-removable staining, alterations, or fabric distress—is the responsibility of the Renter.

6.2 Security Holds and Repair/Replacement Charges

CoCloset reserves the right to place a pre-authorization hold on the Renter's payment method prior to order fulfillment. If an Item is returned damaged beyond normal wear, unreturned, or lost, the Renter authorizes CoCloset to charge the payment method for the documented repair costs or up to the fair market replacement value declared in the listing, in addition to an administrative fee.

6.3 Late Returns

Items returned after the scheduled Rental Period without a pre-authorized extension disrupt subsequent bookings. Late returns are subject to a daily late fee equal to 100% of the daily rental rate, plus applicable late fees, for each day past due. If an Item is not returned within 7 days of the scheduled return date, it will be deemed lost/stolen, and the Renter may be charged the full fair market replacement value.

7. Pricing, Payments, Taxes, and Fees

7.1 Payment Processing

Payments, payouts, and security holds are processed through third-party payment gateways (e.g., Stripe). By transacting on CoCloset, You agree to abide by the respective payment processor's applicable terms of service and operating rules.

7.2 Service Fees

CoCloset charges service fees to facilitate marketplace transactions, app maintenance, and cleaning logistics. Fees are displayed transparently prior to checkout. Service fees are non-refundable unless an Order is canceled in accordance with Section 8.

7.3 Sales Tax & Marketplace Facilitator Obligations

In jurisdictions where CoCloset operates as a Marketplace Facilitator (including New York State), CoCloset will automatically calculate, collect, and remit applicable state and local sales and use taxes on taxable transactions.

11. Dispute Resolution, Binding Arbitration, and Class Action Waiver

11.1 Informal Negotiation

Before initiating arbitration, You and CoCloset agree to attempt in good faith to resolve any dispute, claim, or controversy informally for at least thirty (30) days by contacting [email protected].

11.2 Binding Arbitration

If informal resolution fails, any unresolved dispute arising out of or relating to these Terms or the Service shall be resolved through final and binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration shall take place in Brooklyn, New York, or via remote videoconference.

11.3 Class Action Waiver

YOU AND COCLOSET AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York and the federal laws of the United States, without giving effect to conflict of laws principles.
